1. Product Authorization & Attributes / 产品授权属性
EN: This Electric Vehicle (EV) charger is an exclusively customized promotional item, independently developed and produced by the distributor (IMPOWER) under official brand and logo authorization from AlphaESS. All intellectual property rights associated with the AlphaESS brand and logo belong strictly to AlphaESS and are protected under official trademark authorizations. IMPOWER retains exclusive customization and distribution rights for this specific batch of EV chargers within Australia. No individual or entity, including authorized co-op installers, shall possess any commercial resale or distribution rights for this product.
ZH: 本电动汽车（EV）充电桩产品，由经销商（IMPOWER）获得 AlphaESS 官方品牌及 LOGO 授权后自主研发生产，属于专属定制促销赠品。 本产品涉及的所有 AlphaESS 品牌及 LOGO 的知识产权均归属于 AlphaESS，并受官方商标授权保护。IMPOWER 拥有本批次充电桩在澳大利亚境内的独家定制权与独家分销权。任何个人或机构（包括合作安装商），均不享有本产品的任何商业销售或转售权限。
2. Approved Scope of Use / 唯一合法使用范围
EN: This customized EV charger is strictly prohibited from being retailed, resold, traded in the secondary market, or subjected to any form of commercial transaction involving cash or cash equivalents. Permitted usage scenarios are strictly limited to the following:
• As a complimentary promotional gift bundled with wholesale orders of energy storage batteries distributed by IMPOWER;
• As a complimentary, value-added installation accessory provided by authorized installers to end-users of energy storage projects.
All units must be delivered and installed directly for the final end-users. Any circulation in the secondary market for commercial profit is strictly prohibited.
ZH: 严禁对本定制充电桩开展零售、转售、二手交易，或任何涉及现金及等价物的商业交易行为。 本产品仅限于以下合规使用场景：
• 作为免费促销配套赠品，搭配 IMPOWER 发售的储能电池批发订单一同出货；
• 由授权安装商为储能项目终端客户提供免费的增值配套安装及附赠服务。
所有产品必须直接交付并安装给最终终端用户，严禁流入二级市场进行任何商业盈利性流通。
3. After-Sales & Warranty / 售后与质保权责划分
EN: Product hardware warranty and technical support shall be managed and undertaken by IMPOWER. Installation quality, workmanship, and related warranties shall be fully borne by the respective installer. (Note: To the extent permitted by the Australian Consumer Law, any statutory consumer guarantees will apply where applicable to the end-user).
ZH: 产品硬件质保及技术支持由 IMPOWER 承担。安装质量、工艺及相关的安装质保由负责安装的安装商全权承担。 （注：在澳大利亚消费法允许的范围内，适用于终端用户的法定消费者保障依规执行）。
4. Breach, Penalties & Indemnity / 违规处置及损失追偿条款
EN: In the event that IMPOWER verifies, upon investigation, that an installer or any third party has engaged in the retail, resale, unauthorized market circulation, or any commercial sale of this customized product:
• Remote Termination: IMPOWER reserves the right to permanently and remotely deactivate and lock the operational functions of the product via the cloud backend;
• Warranty Forfeiture: To the maximum extent permitted by law, the affected product will immediately forfeit all distributor-backe warranties, and no subsequent after-sales support, maintenance, or spare parts replacement will be provided;
• Full Indemnification: The breaching party shall fully indemnify and hold IMPOWER harmless against any and all claims, liabilities, losses, damages, or costs (including legal fees) asserted by AlphaESS against IMPOWER arising out of or in connection with such breach.acement will be provided;
ZH: 一经 IMPOWER 核查取证，确认安装商或相关第三方以任何形式对本定制充电桩进行零售、转售、市场流通或其他商业售卖行为：
• 远程关停：IMPOWER 有权通过云端后台，永久远程关停并锁定涉事设备的运行功能；
• 质保取消：在法律允许的最大范围内，涉事设备即刻丧失由IMPOWER提供的一切质保，后续不再提供任何售后支持、维修及配件更换服务；
• 全额追偿：违规售卖方应全额赔偿 IMPOWER 因其违约行为而遭受的损失。若 AlphaESS 因此向 IMPOWER 提出任何索赔、诉讼或要求损害赔偿，IMPOWER 有权向违规方进行等额且全额的追偿（包括合理的法律诉讼费用）。
5. Amendments & Updates / 条款修改与更新权
EN: IMPOWER reserves the right to amend, adjust, and update these usage specifications and terms from time to time in accordance with its business policies and the brand authorization requirements of AlphaESS.
ZH: IMPOWER 有权根据自身业务规范及 AlphaESS 品牌的授权要求，适时调整、修改和更新本定制赠品的使用规范及本条款内容。
